NON DISCLOSURE / CONFIDENTIALITY AGREEMENT

Riginair LLC has provided your company, or will provide your company with samples and specifications for the manufacture of patented and/or patent pending, proprietary product(s). The specifications, design elements, product samples, renderings, outlines, ideas, Etc., furnished by Riginair, contain non-public, confidential and proprietary information wholly owned by Riginair (“Confidential Information”). As a condition to furnishing your company with this Confidential Information, you agree as follows:

1. You acknowledge the confidential and proprietary nature of the information, including but not limited to the specifications, design elements, and product samples and agree to protect and preserve its confidential nature within your company.

2. You agree to hold all such Confidential Information as confidential and agree not to disclose the same to any other person, firm or entity without Riginair's prior written consent.

3. You agree to use the Confidential Information only as permitted or authorized by Riginair in connection with your company's manufacture of product(s) for Riginair. Further you agree not to make any records or copies of the Confidential Information and to immediately, upon the request of Riginair, return all copies, renderings, samples, Etc., of the Confidential Information to Riginair.

4. You agree not to manufacture, reverse engineer, or market any product or any other similarly designed product as outlined and furnished by Riginair.

5. You agree that the confidential, non-disclosure, and non-compete obligations hereunder form a material term, with or without any order from Riginair to your company for the manufacture of any product and that any failure on your company's part to adhere to these terms and conditions shall allow Riginair to immediately terminate its relationship with your company and to avail itself of any other rights or remedies at law or equity.
